For business customers · Version 1.0 · Effective 24 October 2026
1. Scope and parties
- These terms govern the use of the Plumbline software (“Software”) licensed by Joan Isendi Asembekha, trading as Plumbline, Industriestraße 7, 93138 Lappersdorf, Germany (“we”) to the licensee (“you”).
- We license the Software exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. We do not contract with consumers. By buying, you confirm that you act for commercial or independent professional purposes.
- Your own general terms and conditions do not apply, even if we do not object to them.
2. Purchase and delivery
- Licences are sold in our online shop, which runs on Shopify. The contract is concluded with us when we confirm your order by email.
- Payment is processed through the Shopify checkout and the payment provider you choose there. Prices are final prices; any VAT due is shown at checkout.
- You receive the licensed edition as a download straight after payment. The download link is also sent to the email address you provide.
- These terms govern your use of the Software. The licence takes effect once the purchase price has been paid in full.
3. Licence
- For each licence purchased, we grant you a non-exclusive, non-transferable, non-sublicensable and perpetual right to use the licensed edition of the Software for your business purposes by one named user. Your order confirmation shows which licence you bought.
- Professional licence: the named user may use the Software to analyse data of your own organisation. Using it to provide services to third parties, in particular analyses for clients, is not permitted.
- Consultant licence: in addition to the Professional licence, the named user may analyse data on behalf of clients and hand them the reports, exports and manifests the Software produces. During a client engagement, the named user may run the Software on devices provided by the client. At the end of the engagement the named user must remove the Software from those devices. Clients do not receive a right to use the Software themselves.
- The named user may install the Software on up to three of their own devices.
- Reports, exports and manifests produced with the Software belong to you.
- You may reassign a licence to a new named user, for example when an employee leaves. Please tell us by email.
- You may upgrade a Professional licence to a Consultant licence by paying the price difference.
4. Restrictions
You may not (a) pass on, sell, rent or lend the Software or copies of it to third parties; (b) offer the Software to third parties as a hosted service; (c) remove copyright or licence notices; or (d) modify, decompile or reverse engineer the Software, except to the extent §§ 69d and 69e of the German Copyright Act (UrhG) permit this by law.
5. Free trial edition
The trial edition on our website is free of charge and analyses the first 1,000 rows of each file. We provide it without any obligation to keep it available or to maintain it. For the trial edition we are liable only for intent and gross negligence and in the cases listed in section 10.1.
6. Updates and support
- Updates within major version 1 are free of charge and are sent to the email address you used for your order. We are not obliged to release updates.
- We provide support by email at asembekhajoan@gmail.com. We aim to reply within two business days.
7. Your data
- The Software processes data locally in your browser. We receive none of the data you analyse and no usage or telemetry data.
- You remain the controller of any personal data you process with the Software. You are responsible for having a legal basis for that processing and for keeping backups of your data.
- Because we do not process personal data on your behalf, no data processing agreement under Art. 28 GDPR is required for the use of the Software.
8. No legal advice
Scores, classifications, regulatory references, policies and reports generated by the Software are technical aids. They are not legal advice and do not replace your own assessment, for example under the GDPR or the EU AI Act. Automatic detection can miss data or flag it incorrectly; review results before relying on them.
9. Defects
- The Software has the features described on our website at the time of purchase.
- Please report defects in text form with a reproducible description. We remedy defects by correcting them, by providing a workaround or by delivering a new version. If this fails, you may reduce the price or withdraw from the contract.
- Claims for defects become time-barred twelve months after delivery. This does not apply in cases of intent, gross negligence, injury to life, body or health, or fraudulent concealment of a defect.
10. Liability
- We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and where we have given a guarantee.
- For slight negligence we are liable only for breach of an essential contractual obligation, meaning an obligation whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely. In that case our liability is limited to the damage typically foreseeable when the contract was concluded.
- For loss of data we are liable only to the extent the damage would also have occurred if you had made regular backups appropriate to the risk.
- Any further liability is excluded.
11. Termination
We may terminate the licence for good cause, in particular for a material breach of section 4. After termination you must delete all copies of the Software.
12. Final provisions
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- Amendments to these terms require text form.
- If any provision is invalid, the remaining provisions remain valid.
